Developer License Agreement

All rights reserved This Codezero Cordon Developer License Agreement (the “Agreement”) governs your access to and use of the Developer edition of the Codezero Cordon software, which term includes any associated components, updates, and documentation made available by CodeZero Technologies Inc. (“CodeZero”, “we”, “us”). By downloading, installing, accessing, or using the Software under this Agreement (the “Software”), you agree to this Agreement.

1. License Grant

Subject to your compliance with this Agreement, CodeZero grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in accordance with the usage limitations set out in this Agreement and applicable documentation. For certainty, no ownership rights are transferred and CodeZero reserves all rights not expressly granted herein.

2. Developer License Scope

1. Scope. The Developer license for the Software is provided at no charge and is intended for individual developers and organizations evaluating or using the Software that do not exceed the Developer Limits below.
2. Developer Limits. Use of the Software under this Agreement is subject to the usage limitations designated as “Developer Limits” in the applicable documentation.
3. Teams and Enterprise. Use of features designated as “Teams” or “Enterprise” in documentation, including but not limited to managed proxy services, remote vault integrations, organizational policy enforcement, and advanced governance capabilities, will require a separate commercial agreement with CodeZero.

3. Restrictions

You may not, and may not permit any third party to: a. Modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive source code of the Software, except where expressly permitted by law b. Redistribute, sublicense, sell, lease, or otherwise make the Software or any rights therein available to any third party c. Use the Software to build, develop, benchmark, or operate a product or service that is competitive with CodeZero, or publish comparative performance or benchmark results without CodeZero’s prior written consent d. Remove or alter proprietary notices e. Circumvent or attempt to bypass any technical limitations, usage controls, or license enforcement mechanisms f. Use the Software in violation of applicable law or third-party rights.

4. Third-Party Systems and User Responsibility

The Software may interoperate with or be used in connection with third-party systems, platforms, or services. You acknowledge and agree that: a. You are solely responsible for ensuring your use of the Software complies with all applicable laws, regulations, and third-party terms b. CodeZero does not authorize, endorse, or warrant any use of the Software that violates third-party rights or terms of service c. CodeZero has no responsibility or liability for your use of the Software in connection with any third-party systems

5. Disclaimers; No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOR CERTAINTY, NO WARRANTY IS PROVIDED THAT THE SOFTWARE WILL DETECT, PREVENT, MITIGATE, OR REMEDY ANY SECURITY VULNERABILITY OR ISSUE OR THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, WILL BE COMPATIBLE WITH ANY THIRD-PARTY SYSTEM OR WILL IDENTIFY OR ADDRESS ANY SECURITY RISKS OR MISCONFIGURATIONS. USE OF THE SOFTWARE IS AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR YOUR SECURITY PRACTICES AND SYSTEM CONFIGURATIONS.

6. Intellectual Property

a. The Software is licensed, not sold. CodeZero and its licensors retain all right, title, and interest in and to the Software. b. If you provide feedback, suggestions, or improvements, you grant CodeZero a perpetual, irrevocable, royalty-free right to use and incorporate them without restriction.

7. No Support or Service Levels

a. The Developer license is provided with support limited to online Developer Support at www.codezero.io/support. CodeZero may modify, suspend, or discontinue the Software at any time without notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW CODEZERO SHALL HAVE NO LIABILITY WHATSOEVER ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE AND IN NO EVENT SHALL CODEZERO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF PROFITS. IF LIABILITY CANNOT BE EXCLUDED IN ITS ENTIRETY, CODEZERO’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED CAD $100.

9. Indemnity

You agree to defend, indemnify, and hold harmless CodeZero from and against any claims, damages, liabilities, and expenses arising out of or related to your use of the Software, your violation of this Agreement and your use of the Software in connection with any third-party systems or data.

10. Term and Termination

This Agreement remains in effect until terminated through your decision to discontinue use of the Software, CodeZero’s decision to discontinue offering the Developer license on the terms of this Agreement or for cause. For certainty, CodeZero may terminate or suspend your rights immediately if: a. You breach this Agreement b. You exceed Developer Limits c. Continued use presents legal or security risk Upon termination of this Agreement for any reason, you must cease use and delete all copies of the Software.

11. Export and Sanctions Compliance

You agree to comply with all applicable export control and sanctions laws, including those of Canada and other applicable jurisdictions.

12. Governing Law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

13. General

This Agreement constitutes the entire agreement regarding the Developer license for the Software. If any provision is unenforceable, the other terms of the Agreement shall remain in full force and effect. Any failure by CodeZero to enforce any provision of this Agreement shall not constitute a waiver. You may not assign this Agreement without CodeZero’s consent. CodeZero may update this Agreement from time to time and continued use of the Software will constitute acceptance of the updated terms.
